Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and the owner of Comprehensive Health Solutions NY ("CHSNY," "we," "us," or "our") governing your access to and use of the website located at chsny.org and any related content, features, or services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

About CHSNY

CHSNY provides evidence-based information on pharmaceuticals, medications, diseases, and supplements to support informed health decisions. Content includes guides on uses, dosages, side effects, interactions, condition overviews, treatment options, and supplement safety insights tailored for patients and caregivers.

Eligibility and Account Registration

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms. The Services do not create a doctor–patient, pharmacist–patient, or other professional relationship between you and CHSNY or any contributor.

Never disregard professional medical advice or delay seeking it because of something you have read on the Services. If you are experiencing a medical emergency, call 911 immediately.

Pharmaceutical, Medication, and Supplement Disclosures

• Information about medications, devices, and supplements may not include all possible uses, directions, precautions, warnings, interactions, allergic reactions, or adverse effects.
• Statements regarding dietary supplements have not necessarily been evaluated by the U.S. Food and Drug Administration, and such products are not intended to diagnose, treat, cure, or prevent any disease.

User Conduct and Acceptable Use

By submitting User Content, you grant CHSNY a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, distribute, display, perform, and create derivative works of your User Content for the purpose of operating, improving, and promoting the Services.

You represent and warrant that you have all rights necessary to grant the foregoing license and that your User Content does not violate applicable law or the rights of any third party.

Intellectual Property

The Services and all materials therein, including without limitation text, compilations, articles, graphics, logos, icons, images, audio clips, video clips, data, software, and the design, selection, and arrangement thereof (collectively, the "CHSNY Content") are owned by CHSNY and/or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. "Comprehensive Health Solutions NY," "CHSNY," and associated logos are trademarks or service marks of their respective owners.

Subject to your compliance with these Terms, CHSNY grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for your personal, non-commercial use. All rights not expressly granted are reserved.

The Services may reference or include information sourced from third parties. We do not endorse, control, or assume responsibility for any third-party content, products, services, or websites. Your use of third-party resources is at your sole risk and subject to the terms and policies of those third parties.

CHSNY is not a covered entity or business associate as those terms are defined under HIPAA and does not seek to collect protected health information (PHI). THE SERVICES AND ALL CHSNY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

Without limiting the foregoing, CHSNY does not warrant that the Services will be uninterrupted, secure, error-free, or that any defects will be corrected; nor does it warrant that information is accurate, up-to-date, or appropriate for your circumstances. You are responsible for verifying information with your licensed healthcare professional.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHSNY, ITS OWNER, OFFICERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES OR CHSNY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHSNY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID (IF ANY) TO CHSNY FOR THE SERVICE AT ISSUE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless CHSNY, its owner, officers, employees, contractors, contributors, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

Copyright and DMCA Policy

CHSNY respects intellectual property rights and expects users to do the same. If you believe that content on the Services infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA). Your notification must include: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the allegedly infringing material and information reasonably sufficient to permit us to locate it; (4) your contact information; (5) a statement that you have a good-faith belief that use of the material is not authorized; and (6) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

Upon receipt of a valid notice, we may remove or disable access to the allegedly infringing material and take reasonable steps to notify the user who posted it. Counter-notifications may be submitted in accordance with the DMCA.

Termination and Suspension

We may, in our sole discretion and without liability, suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Services will immediately cease, and any provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnity, and dispute resolution.

Governing Law

These Terms and your use of the Services are governed by the laws of the State of New York, without regard to its conflict of laws principles and except as preempted by U.S. federal law, including the Federal Arbitration Act.

Dispute Resolution; Arbitration Agreement

You and CHSNY agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved by binding arbitration, rather than in court, except that either party may seek relief in small claims court for qualifying claims and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent unauthorized access or use of the Services.

The arbitration shall be administered by a recognized arbitration provider under its applicable rules by a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. Unless otherwise required by law, arbitration will take place in New York County, New York, or by video/teleconference at the election of the party initiating the arbitration.

Class Action and Jury Trial Waiver: YOU AND CHSNY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND CHSNY WAIVE ANY RIGHT TO A JURY TRIAL.

Opt-Out: You may opt out of this arbitration agreement within thirty (30) days of the date you first accept these Terms by sending a written notice of your decision to opt out to [email protected] or by mail to the contact address below. Your opt-out notice must include your name, contact information, and a clear statement that you wish to opt out of arbitration.

International Use

The Services are controlled from the United States and are intended for users located in the United States. We make no representation that the Services are appropriate or available for use in other locations. Users who access the Services from outside the United States do so on their own initiative and are responsible for compliance with local laws.

Electronic Communications and Notice

You consent to receive communications from us electronically, including via email and through the Services. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor, or materials, or pandemics and governmental orders.

Severability; Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms disclosed to you for specific Services, constitute the entire agreement between you and CHSNY regarding the Services and supersede all prior or contemporaneous understandings.
